Agreement to Terms

By accessing or using CrankBench ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and COMPANY_NAME ("we," "us," or "our"), registered in Slovenia.

Description of Service

CrankBench is a cloud-based software platform designed for bicycle repair shops to:

Manage customer relationships and contact information
Track bicycle inventory and repair orders
Generate quotes and invoices
Manage team members and work assignments
Analyze business performance through reports

Account Registration

Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use CrankBench.

Account Security

You are responsible for:

Maintaining the confidentiality of your login credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access

Accurate Information

You agree to provide accurate, current, and complete information during registration and keep it updated.

Subscription and Payments

Free Trial

New accounts receive a 30-day free trial with full access to all features. No payment information is required during the trial.

Subscription Plans

After the trial, continued access requires an active subscription. Current pricing is displayed on our website and in the platform.

Payment Terms

Subscriptions are billed monthly or annually in advance
Payments are processed securely through Stripe
All prices are in EUR and exclude applicable VAT
VAT is charged according to Slovenian and EU regulations

Refunds

Monthly subscriptions: No refunds for partial months
Annual subscriptions: Pro-rated refund available within 14 days of purchase
Contact us to request a refund

Subscription Changes

You may upgrade, downgrade, or cancel your subscription at any time through account settings. Changes take effect at the next billing cycle.

Acceptable Use

Your use of CrankBench must comply with our Acceptable Use Policy, which prohibits:

Illegal activities
Harmful or abusive content
Security violations
System abuse
Misrepresentation

Violation of the Acceptable Use Policy may result in immediate account termination.

Your Data

Data Ownership

You retain all ownership rights to the data you enter into CrankBench, including customer information, repair records, and business data.

License Grant

You grant us a limited license to host, store, process, and display your data solely to provide the Service.

Data Export

You may export your data at any time through the platform's export features.

Data Processing

We process your data in accordance with our Privacy Policy and applicable data protection laws.

Intellectual Property

Our Property

CrankBench, including its software, design, logos, and documentation, is our intellectual property protected by copyright, trademark, and other laws.

Limited License

We grant you a non-exclusive, non-transferable, revocable license to use CrankBench for your internal business purposes during your subscription.

Restrictions

You may not:

Copy, modify, or distribute our software
Reverse engineer or decompile the platform
Remove any proprietary notices
Use our trademarks without permission

Feedback

If you provide feedback or suggestions, we may use them without obligation to you.

Service Availability

Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

Modifications

We may modify, suspend, or discontinue features with reasonable notice. Material changes affecting your use will be communicated via email.

Support

Technical support is available via email. Response times may vary based on your subscription plan.

Termination

By You

You may cancel your subscription at any time through account settings or by contacting us. Upon cancellation:

Access continues until the end of your billing period
You may export your data before termination
After termination, your data is deleted per our retention policy

By Us

We may suspend or terminate your account for:

Violation of these Terms or our Acceptable Use Policy
Non-payment of subscription fees
Extended account inactivity (with prior notice)
Legal requirements

Effect of Termination

Upon termination:

Your license to use CrankBench ends
You remain responsible for any outstanding payments
Provisions that should survive termination will remain in effect

Limitation of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, or consequential damages
Loss of profits, data, or business opportunities
Service interruptions or data loss

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Exceptions

These limitations do not apply where prohibited by law or to liability arising from our gross negligence or willful misconduct.

Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of third-party rights
Data you enter into the platform

Dispute Resolution

Governing Law

These Terms are governed by the laws of the Republic of Slovenia, without regard to conflict of law principles.

Jurisdiction

Any disputes shall be resolved exclusively in the courts of Ljubljana, Slovenia.

Informal Resolution

Before filing a legal claim, you agree to attempt informal resolution by contacting us at jure.repar@reweb.si.

Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via:

Email to your registered address
Notice within the platform
Updated "Last Updated" date

Continued use after changes constitutes acceptance. If you disagree with changes, you may terminate your account.
